Your Role and Responsibilities

We are seeking a highly skilled and experienced Martech Contract Vendor Management professional to join our team. The successful candidate will oversee the negotiation and administration of third party software license contracts in partnership with Marketing, Communications & Citizenship (MCC) organization business teams and procurement. This role partners heavily with our legal, compliance, and technology teams to ensure vendors adhere to our standards and policies. Where applicable this role will escalate risk assessments and approvals to senior leadership for approval.

This individual will collaborate with internal stakeholders and cross-functional team members to develop license compliance systems and training, and they maintain strong and positive vendor relationships. They manage contracts, renewals, amendments, change orders, supplements, terms and conditions, DOUs and other contract instruments on behalf of MCC as our org lead working with procurement as the primary owner of the contract negotiations.

When applicable, this role coordinates and oversees RFIs/RFPs to source new vendors in partnership with the MCC Technology and procurement teams.

Responsibilities:

  • Responsible for drafting complex and specialized terms and conditions that balance IBM's risk and the needs of our MCC teams.

  • Collaborate with a team of specialists on correct language and risk assessments during negotiations - this includes MCC Technology, Compliance, BISO and Privacy

  • Being accountable and support our compliance processes and policies.

  • Monitor contract renewal dates and CIO/Procurement pipelines to ensure renewals are processed in a timely fashion.

  • Advise management of contractual rights and obligations and possible mitigation of contractual/program risks when applicable

  • Ensure that negotiated terms and conditions comply with company policies.

  • Construct, submit and negotiate pricing proposals.

  • Assist teams in developing scopes of work, specifications, and determining the appropriate sourcing method for all solicitation requests.

  • Oversee and assist in responding to potential software audits.

  • Collaborate with vendors and procurement to resolve issues and disputes, and to identify opportunities for improvement.

Required Technical and Professional Expertise

  • Bachelor's degree in Business, Finance, Law or a related field

  • At least 5 years of experience in contract management, vendor management, or a related field.

  • Excellent communication and negotiating skills in English both oral and written, combined with the ability to understand and interpret contractual terms and conditions.

  • Demonstrated experience and efficiency in the negotiation of complex contracts such as those involving intellectual property, publication restrictions, export control, classified contracts, propriety and confidential information.

  • Strong analytical and problem-solving skills, with the ability to identify and mitigate risks

  • Willingness to work flexible, extended and/or irregular working hours in line with business demands.

  • Ability to work independently and as part of a team. Able to pull in subject matter experts when needed for consultation.

  • Proven experience working is a fast-paced environment, where prioritization is required to be effective, coupled with ability to manage multiple contracts / vendors simultaneously.

  • Demonstrated ability to develop effective relationships with customers and internal partners based on understanding and trust.

Preferred Technical and Professional Expertise

  • Ability to understand the financial aspects of contracts, security factors, and risk quantification.

  • Demonstrated ability to develop effective relationships with customers and internal partners based on understanding and trust.

  • Hands-on proposal preparation or negotiation experience

  • Certification in contract management (e.g., CPCM, CSM, or SM).

  • Knowledge of procurement principles and practices.

  • Experience with contract negotiation and management software.
