The Staff Counsel will lead responsibility on complex customer engagements. He/she may be called upon to act as an advisor to senior management on all legal matters. Reviews, interprets and counsels on federal, provincial and local laws, agency rulings, IBM policies and practices, business conduct and ethics. Drafts and reviews agreements, contracts and other documents involving substantial financial exposure, and negotiates the same.Works with the line of business executives at IBM Canada on key transactions and matters.Assumes additional responsibilities as assigned.
Must have obtained a JD/LLB degree plus be admitted to at least one provincial bar. Requires professional legal mastery in a broad range of IT related legal areas including but not limited to: regulatory law, contracts, privacy, intellectual property, cloud computing, IT relevant case law, etc.
Responsible for complex negotiations across the entire portfolio of IBM products and services. Advises IBM senior management on the legal/ethical aspects arising from day-to-day business activities within an area of responsibility.
Handles complex/unusual claims against the company, and leads in the preparation for negotiation, litigation or arbitration proceedings to resolve controversies, including the coordination of efforts by corporate staff and potentially outside counsel.
Normal/flexible office conditions, may be exposed to demands of irregular work hours.
With limited supervision, acts as lead counsel on a variety of matters and large/complex transactions. When requested, assume a leadership role in the development of internal company policies as appropriate and strategies as well as ad hoc external dealings with outside counsel involving litigation or business strategies (i.e. business ventures, acquisitions, lawsuits, etc.). Provide advice and counsel to all levels of management as necessary.
Impact on Business/Scope:
Drafts and reviews agreements, contracts and other documents having major financial consequences across the IBM Canada corporation. Accountable for providing quality advice and counsel regarding all legal issues pertaining the assigned transactions and business areas.
Required Technical and Professional Expertise
Qualified to practice law in Canada, preferably in Ontario.
Looking for someone who has practiced law in the IT space for 5 to 9 years.
Solid experience in larger/complex IT transactions is required.
Good collaborator and able to work in high pressure situations.
Solid negotiation and leadership skils.
Preferred Tech and Prof Experience
French language skills would be an asset.
